Terms & Conditions

Terms and Conditions

NETO G. STYLE VENTURES

Effective date: November 4, 2026

1. Agreement, scope and acceptance

These Terms and Conditions (“Terms”) govern use of netogstyleventures.com (the “Website”), requests for quotations and, where expressly accepted, exchange transactions arranged with Neto G. Style Ventures (“NGS”, “we”, “us” or “our”). “Customer”, “you” and “your” mean a person or organization interacting with NGS. A transaction is governed by these Terms together with the specific written quotation, transaction confirmation and any mandatory disclosures provided before acceptance. If a specific written transaction confirmation conflicts with these general Terms, the transaction confirmation governs that commercial detail, except where applicable law requires otherwise. Merely browsing the Website does not create a customer account, a commitment to exchange, or an obligation on NGS to process a transaction. Before completing a transaction, we may ask you to expressly acknowledge the current Terms. Nothing in these Terms excludes non-waivable statutory rights.

2. About NGS and regulatory status

NGS operates from Winnipeg, Manitoba, Canada and describes its services as foreign exchange dealing and dealing in virtual currencies. NGS lists FINTRAC MSB registration number M23722678. Customers may check registration information using FINTRAC’s public MSB registry. FINTRAC registration is a federal registration requirement; it is not a licence, endorsement, certification of trustworthiness, government guarantee, or approval of any particular transaction. NGS is not represented by these Terms as a bank, deposit-taking institution, insured deposit provider, securities dealer, investment adviser, or custodian. Any other regulatory authorizations, exemptions or restrictions must be confirmed separately before services are offered.

3. Services and geographic availability

Subject to eligibility, liquidity, compliance review and operational capacity, NGS may quote and arrange (a) exchanges between Canadian dollars (CAD) and Nigerian naira (NGN), and (b) exchanges involving the digital asset USDT. Supported transaction directions, payment rails, networks, limits and jurisdictions are determined case by case and must be confirmed before payment. A currency or asset shown on the Website does not guarantee availability. NGS may decline a service where a customer, payment route, destination, wallet, intermediary, or jurisdiction is restricted or presents unacceptable risk. NGS does not promise to serve all persons or locations and does not offer financial, tax, legal or investment advice.

4. Customer eligibility and authority

You must have legal capacity to enter into a binding transaction and be at least the age of majority applicable to you, or act for an entity through a duly authorized representative. You must provide truthful, current and complete information and must use funds and digital assets you are legally entitled to control. An entity customer must provide satisfactory evidence of legal existence, beneficial ownership and signing authority when requested. You must not transact on behalf of another person, use nominee accounts or conceal a beneficial owner or third party unless the arrangement is fully disclosed and expressly approved after applicable verification. NGS may refuse or stop a transaction if authority or eligibility cannot be established.

5. Requesting a quote; rates and acceptance

Rates are provided on request through NGS-approved channels. Unless a written quote states otherwise, any rate, amount, availability estimate or illustration is indicative and not binding. A quote may specify the exchange direction, source and destination currency or asset, gross amount, exchange rate, fees, net amount expected, payment instructions, expiry/validity period and material conditions. NGS is not obligated to honour an expired, incomplete, erroneous or unaccepted quote. A transaction is accepted only when NGS expressly confirms it in writing after any required checks. Market movements may require a revised quote before acceptance; once a rate is confirmed as locked, the lock duration and conditions must be expressly stated. We will not unilaterally apply a different rate to a completed binding transaction except where permitted by law or agreed with the customer.

6. Fees, charges and amounts received

Before the customer commits, NGS will disclose its applicable exchange rate, any separate service fees it charges, and the amount the customer should receive, to the extent calculable. Banks, payment networks, wallet providers, blockchain validators and third-party institutions may charge additional fees or deductions outside NGS’s control; known or reasonably foreseeable third-party costs should be disclosed when possible. Customers must not assume that the displayed exchange rate is a mid-market rate or that all third-party fees are included. Any changes to an accepted transaction’s material fees or payout amount require appropriate notice and, where required, the customer’s agreement. Taxes, if any, will be treated in accordance with applicable law.

7. Payment instructions and Interac e-Transfer

For eligible CAD transactions, NGS may accept Interac e-Transfer using the specific payment details supplied through an approved NGS communication channel. You must verify recipient information before sending. Do not send funds to a bank account, email address or recipient that has not been independently confirmed with NGS. Payment instructions may change; previously used details should not be assumed current. A payment screenshot, confirmation email or “sent” status is not conclusive proof of final receipt. NGS may wait until it verifies actual receipt, ownership, availability and satisfactory payment status before delivering currency or digital assets. Do not divide payments to evade limits or compliance checks. NGS does not accept third-party payments as a standard practice; any proposed exception must be expressly reviewed and approved in advance and may still be refused.

8. Payment ownership, reversals and chargebacks

You represent that each payment comes from an account you own or are expressly authorized to use and that the payment is legitimate and not subject to unauthorized-use claims. You must not knowingly initiate, facilitate or encourage a false fraud report, unjustified reversal or duplicate recovery. Interac e-Transfer and bank transfers may be subject to holds, recalls, investigations, disputes or reversals under financial-institution rules and applicable law. If a payment is disputed or reversed, NGS may investigate, suspend related processing, seek information and pursue lawful recovery of amounts actually owed, subject to applicable law and fair dispute resolution. NGS will not presume that a customer is fraudulent merely because a bank initiates an investigation. Neither party waives legitimate legal or statutory dispute rights.

9. Digital currency transactions and network details

USDT is a digital asset, not legal tender issued by the Bank of Canada and not a bank deposit. Before any transfer, the customer and NGS must confirm the exact asset, supported blockchain/network, wallet address, amount and any applicable memo/tag or additional routing detail. Sending assets using an unsupported network or to an incorrect address may result in permanent loss. The customer is responsible for independently checking wallet details they supply; NGS is responsible for using the agreed destination details when it initiates a transfer. Blockchain transfers may be delayed by congestion, validators, wallet providers, network outages, screening or technical events. A transfer may be considered completed when the agreed asset has been transmitted to the confirmed destination and the agreed network confirmation standard, if any, is met. A transaction record or blockchain identifier may be provided where available.

10. Digital currency risk disclosure

Digital assets can fluctuate in price, including assets designed to track a fiat currency such as USDT. Risks include loss of peg, issuer/counterparty failure, liquidity constraints, wallet compromise, scams, network congestion, protocol changes, sanctions-related freezes, technical faults, irreversible blockchain settlement and regulatory changes. Crypto assets are generally not covered by Canadian deposit insurance. NGS does not guarantee an asset’s value, future convertibility, uninterrupted network access or recovery of a confirmed blockchain transfer. Customers should transact only after understanding these risks. A separate Digital Currency Risk Disclosure should be made available and incorporated by reference to the extent permitted by law.

11. Verification, AML/ATF and sanctions screening

NGS may collect and verify identification and other information as required by the Proceeds of Crime (Money Laundering) and Terrorist Financing Act, associated regulations, sanctions laws and risk-based compliance procedures. Information requested may include legal name, date of birth, address, occupation or business activity, government identification, source of funds/wealth, transaction purpose, beneficial ownership, third-party involvement, banking information, wallet information and supporting records. Verification can apply even to smaller transactions when required by law or risk assessment. NGS may conduct screening, ongoing monitoring and additional due diligence, and may report transactions or attempted transactions to competent authorities when legally required. NGS may be prohibited by law from disclosing certain reports or investigations. Providing information does not guarantee acceptance or completion.

12. Prohibited and restricted activity

You must not use NGS services for fraud, money laundering, terrorist financing, sanctions evasion, stolen funds, impersonation, unlicensed or unlawful activity, deceptive payment descriptions, unauthorized third-party transfers, exploitation, cybercrime or any other illegal purpose. You must not submit altered identity documents, false payment evidence, misrepresent a transaction’s purpose or seek to circumvent transaction monitoring. NGS may reject or escalate suspicious activity, subject to legal obligations. NGS does not permit customers to use its services to disguise the true nature of a payment or digital-asset transaction from a bank, payment provider or regulator.

13. Transaction processing and delivery times

Processing begins only when NGS confirms that all stated prerequisites have been satisfied, which may include final payment receipt, satisfactory verification, quote acceptance, liquidity and accurate payout instructions. Any estimated completion time is an estimate rather than a guarantee unless NGS expressly commits to a specific deadline in writing. Delays may result from banking hours, payment holds, holidays, technical failures, compliance review, network congestion, counterparty restrictions or events outside reasonable control. NGS will provide a reasonable status update on request, subject to legal confidentiality and security constraints. If material delay changes the agreed commercial terms, NGS will explain available options and applicable refund/cancellation rights.

14. Cancellations, refunds and failed transactions

A customer may request cancellation by contacting NGS promptly. Whether cancellation is possible depends on the transaction stage, agreed quote conditions, settlement status, applicable law and whether funds or digital assets have already been delivered. Before a transaction is accepted or executed, NGS will explain any applicable cancellation conditions and fees. A transfer that has already settled on a blockchain or has otherwise been irrevocably completed may not be reversible; however, this does not eliminate statutory remedies or rights arising from NGS’s own error or breach. If NGS declines or cannot complete an eligible transaction after receiving funds, it will assess and arrange a lawful return of funds to a verified original source or other legally permissible destination, less only fees or adjustments properly disclosed and legally permitted. Refund timing may depend on bank processing, investigations or legal restrictions. NGS will not promise automatic refunds where a payment is under an active fraud or legal hold. A customer must not request a duplicate refund or reversal after receiving the corresponding payout.

15. Errors, mistaken transfers and reconciliation

If either party identifies an incorrect amount, exchange direction, beneficiary, wallet, network or other material discrepancy, it must notify the other promptly and provide reasonable evidence. NGS will investigate reasonably and work in good faith to correct errors within its control, subject to applicable law, technical feasibility and third-party cooperation. An unintended overpayment or duplicate payout does not automatically become the recipient’s property; any lawful repayment or adjustment will be addressed transparently. The parties should retain written confirmations, receipts, transfer references and relevant communications. No provision requires a customer to relinquish statutory rights or prevents independent legal review of a disputed amount.

16. Fraud prevention and security communications

Customers should communicate only through contact channels confirmed on the Website and independently verify unusual changes in payment instructions. NGS will not ask for a customer’s online-banking password, card PIN, one-time banking security code or wallet seed phrase. Customers should not disclose such credentials to NGS or anyone claiming to represent it. Report suspected impersonation, unauthorized activity or compromised contact details immediately to support@netogstyleventures.com and the relevant bank or wallet provider. NGS may pause transactions to investigate credible fraud concerns. No online channel can be guaranteed completely secure; sensitive identification material should be submitted only through an NGS-approved, appropriately protected process.

17. Website use and third-party services

The Website is provided for information, service enquiries and access to NGS contact and policy information. It is not an automated trading venue and does not create a digital wallet, custody account or stored-value balance. You may not interfere with the Website, introduce malicious code, scrape or misuse content, impersonate NGS or attempt unauthorized access. Links to Interac, messaging providers, banks, wallet services, public registries or other third-party sites are provided for convenience; those services are governed by their own terms and privacy practices. NGS is not responsible for independent third-party websites or their availability, except to the extent responsibility cannot lawfully be excluded.

18. Privacy, information handling and records

NGS collects, uses, discloses, safeguards and retains personal information for specified purposes including identity verification, providing services, fraud prevention, compliance, record keeping, complaints and lawful reporting. Further details about personal information practices and privacy requests are described in our Privacy Policy available on the Website. NGS will not represent that data is never shared: information may need to be disclosed to banks, service providers, counterparties, regulators, law enforcement or other parties where lawful and necessary. Records may be retained for legally required periods even after a transaction ends or a customer withdraws consent, subject to applicable law. Customers may request access or correction in accordance with applicable privacy legislation and lawful exceptions.

19. Customer representations and ongoing duties

You confirm that the information and documents you provide are accurate and that you will promptly notify NGS of material changes affecting an active transaction. You are responsible for checking your quote, transaction details, bank recipient and wallet address before acceptance, maintaining security of your own devices and accounts, complying with applicable law and paying taxes for which you are responsible. You must not represent that NGS has guaranteed an exchange rate, processing time, investment return or future asset value unless that commitment is explicitly made in an authorized written confirmation. You must cooperate reasonably with legitimate verification and transaction-reconciliation requests.

20. No investment, tax or legal advice

Information provided by NGS, including market commentary or exchange quotations, is for the purpose of its stated exchange services and is not individualized investment, financial planning, tax or legal advice. NGS does not recommend that customers buy, hold or sell any digital asset as an investment and does not guarantee profits. Customers should obtain independent advice where appropriate and determine their own tax-reporting obligations. Nothing in this clause limits duties imposed on NGS by applicable law.

21. Service availability, suspension and refusal

NGS may suspend the Website or a proposed transaction for maintenance, technical issues, insufficient liquidity, payment irregularities, verification requirements, suspected fraud, sanctions screening, legal requests or other reasonable risk-management reasons. NGS may decline a transaction before acceptance. Where a transaction has already been accepted, NGS will act in accordance with the agreed terms and applicable law, including any required notice, performance, refund or remedy. A suspension does not automatically transfer ownership of customer funds to NGS or eliminate a valid customer claim.

22. Liability and non-excludable rights

Each party remains responsible for its own fraud, intentional misconduct and obligations that cannot lawfully be limited. To the maximum extent permitted by applicable law, NGS is not responsible for losses arising solely from inaccurate instructions supplied by the customer, unauthorized access to the customer’s own accounts not caused by NGS, independent third-party network failures, or changes in market prices after the agreed transaction conditions have expired. Any exclusion or limitation applies only to the extent lawful and does not exclude liability for NGS’s negligence, breach of contract, misleading representations, statutory consumer rights or privacy duties where exclusion is prohibited. [LEGAL REVIEW: decide whether any proportionate monetary cap on liability is appropriate and enforceable; no cap is inserted in this draft.]

23. Events beyond reasonable control

Neither party is liable for delay caused by events genuinely beyond its reasonable control to the extent permitted by law, such as major network outages, natural disasters, civil emergencies, lawful government restrictions, payment-system disruptions or widespread infrastructure failures. The affected party must take reasonable steps to mitigate effects and communicate material delays when feasible. This provision does not excuse obligations to account for money already received or to provide remedies required by law.

24. Complaints and dispute resolution

Customers may submit complaints by email to support@netogstyleventures.com with their name, contact details, transaction reference, dates, issue and requested resolution. NGS will review complaints and respond within a reasonable period, taking into account the complexity of the issue and any required investigation. NGS may ask for reasonable supporting evidence and will not require unnecessary disclosure of passwords or recovery phrases. Customers may also seek assistance from relevant banks, consumer authorities, privacy regulators, law enforcement or courts as applicable. Nothing in these Terms prevents a customer from exercising statutory complaint, chargeback, cancellation or legal rights. [CONFIRM whether a formal complaint escalation officer/process exists and publish accurate details.]

25. Intellectual property and Website content

Unless otherwise indicated, the NGS business name, branding, Website text, graphics and other original materials are owned by NGS or used with permission. You may view or print reasonable portions for personal, non-commercial use, but may not falsely claim affiliation, copy branding for a competing service or redistribute proprietary materials without authorization. Third-party marks remain the property of their respective owners. The Website content may be updated without notice, but updates do not retroactively change accepted transaction terms without lawful agreement.

26. Updates to these Terms

NGS may revise these Terms to reflect operational, legal, regulatory or security changes. The current version and effective date are posted on the Website. Material changes affecting ongoing transactions will be communicated where required, and changes will not retroactively alter a binding transaction without a lawful basis or customer agreement. Continued browsing after a change does not by itself constitute consent to a materially new transaction agreement; acceptance should be obtained where appropriate.

27. Governing law and disputes

These Terms are intended to be interpreted under the laws of Manitoba and applicable federal laws of Canada, subject to mandatory consumer-protection, privacy and conflict-of-laws rules that may apply to a particular customer. Where lawful, the parties may bring disputes before courts of competent jurisdiction in Manitoba; this provision does not remove any non-waivable right to proceed elsewhere. The parties may first attempt a good-faith resolution through the complaints process, but no customer is required to waive statutory remedies or accept mandatory arbitration under this draft.

28. Severability, waiver and entire agreement

If a provision is held unenforceable, the remainder remains effective to the extent it can operate fairly and lawfully. Failure to enforce a provision once does not permanently waive that provision. These Terms, together with an accepted transaction confirmation and expressly incorporated disclosures, constitute the applicable agreement for that transaction, without excluding representations or mandatory disclosures that the law makes binding. No employee, agent or third party may vary material terms except through an authorized written confirmation. Headings are for convenience only.
